The Association shall be known as the Alabama Branch of Associated General Contractors of America, Inc. and shall operate as a branch of the Associated General Contractors of America, Inc.
Section 1 - To make membership in the Branch a reasonableassurance to the public of the Skill, Integrity, and Responsibility of its members by requiring that those admitted to membership shall have established an honorable reputation on these three fundamental points, and by making continuance in this membership depend upon fair dealings between members and the public.
Section 2 - To secure uniformity of action among the individuals forining the Branch upon the general principles herein set forth, and upon such other good principles as may be decided upon from time to time, as being best for industry as a whole.
Section 3 - To promote better relations between private owners and public bodies; their architects and engineers on the one hand, and contractors on the other; to maintain high professional standards in the conduct of work; to combat unfair practices; to encourage efficiency among contractors; to support contractors and contractors' associations in an effort to rectify conditions of an unsatisfactory character; to encourage those methods of contracting which would relieve the contractors of improper risks, and to encourage sound business methods intending to raise the standing of contractors generally in the business.
Section 1 - Qualifications - A general contractor is defined as a construction flrm capable of undertaldng work as a prime contractor with overall responsibility for the satisfactory completion of a project using its own forces to perform part of the work. A public body or goverrixnent corporation or entity does not qualify for regular membership in this association. (b) Only general contractors licensed to do business in the state of Alabama and who have been engaged in the contruction business for two or more years prior to application for membership and have established a reputationfor Skill, Integrity and Responsibility, as herein defined, may be considered for membership in the Association. Exceptions to the two-year experience requirement may be granted in the case of new firms of which one or more principal officer(s) have had at least two years experience in the management of responsible construction firms.
Skill: The possession and application of the necessary technical knowledge and practical experience to execute the projects undertaken in a professional, effident, and safe manner.
Integrity: The character to comply with the spirit and letter of contracts undtaken and to handle every transaction with fairness and honor.
Responsibihty: The possession and application of the necessary finances, cash or credit, together with the needed equipment and organization to fulfill all commitments promptly and completely.
Section 2 - Types of Membership - (a) Regular member: A regular member firm is one which holds a full membership in the Alabama Branch Associated General Contractors. (b) Provisional members: Provisional members are those general contracting firms which lack the necessary experience to be regular members of the lation. For the purpose of developing qualffied members and to provide better contact with prospective members, a provisional membership may be granted to general contractors for not more than two calendar years. (c) Associate members: Associate members are those firms which have an interest in the construction industry but who do not qualify as a general contractor member. Associate qualifications and dues will be determined by the Board. Architectural firms, design engineer firms and labor organizations shall not qualify as Associate members. (d) Affiliate members: Affiliate members are those firms which have an interest in the construction industry but do not qualify as a general contractor member or as an associate member.
Section 4 - Any member who shall fail to pay dues or assessments provided for within a period of three months, from the time they are due, shall be dropped from membership. Any member who has been dropped from the roll because of non-payment of dues may be reinstated by a vote of the membership at any time upon payment of dues. Any member may be dropped from the roll for failure to comply with the requirements of these articles of association or other proper regulations pres by the membership.
Section 5- Any member of the Association may terminate same upon giving three months notice in writing to the Executive Vice President and upon payment of all dues and assessments to date of withdrawal.
Section I - The affairs of the Association are to be govemed byits Board of Directors hereinafter called the Board, whtch shall consist ofthe Officers, elected Directors, and National Directors of this Chapter.
Section 2 - Officers -The Officers of the Associations shall consist of a Prestdent, I st vice Prestdcnt, 2nd Vice President, Treasurer and Executive Vice President. All officers shau be elected during the last quarter of the calendar year for a period of one year and shall assume their duties the following January, except the Executive Vice President, who shad be appointed by the Board. The Executive Vice President shall not necessarily be a member of the Associated General Contractors.
Section 3 - Elected Directors - the elected directors shall number at least six, with a maxiinum of not more than twenty-five Directors who shall serve terms of one, two or three years. Directors shall be elected during the last quarter each year and shall assume office the following January. Each section shall automatically be entitled to appoint the President or the section designees as a Director.
Section 4 - Duties of Officers
A. President - The President shall preside at all meetings of theAssociation and exercise all duties usually devolved upon the President.
B. 1st & 2nd Vice Presidents - The first and second Vice Presidents in their respective order shall assist the President and preside at the meeting in his absence.
C. Treasurer - The Treasurer shall coordinate with the Executtve Vice President the collection and distribution of all funds of the Association. The Treasurer shall report to the Board and to membership on a periodic basis, the financial condition of the Association.
D. Executive Vice President -The Executive Vice President shall attend all meetings of the Association and under the supervision of the President, keep a true record of all business transacted. He shall receive and dispense the monies of the Association under the direction of the Treasurer. He shall issue all notices to the members. He shall attend to all official documents of the Association. Also, he shall perform such additional duties in behalf of the Association as directed.
Section 5 - Duties of the Executive Vice President
A. The Executive Vice President shall serve as Secretary of the Association and shall within a few days after each meeting mail each member a copy of the minutes of the previous meeting.
B. The Executive Vice President shall endeavor to promote new members and other good interests of the Association. He shall use good judgment in approaching or recommending new members.
C. The Executive Vice President shall notify the membership by mail of any matters which are necessary, or he feels important to the extent that all members will be aware at all times of the activity of the Association.
D. The Executive Vice President shall enforce all rulings of the Association. In cases of violation, he shall report the facts to the Board at its next regular meeting.
E. Books and Records - The Executive Vice President shall keep a complete book containing the minutes of all meetings, notices sent out to members and other such records as may be required.
Section I - The members of this Association shall hold meetings at such time and place as might be determined by the memberhip.The memberhip shall hold an annual meeting for the installation of the Officers and Directors. Special meetings may be called at any time by the President upon written request of any three members of the Association. The Executive Vice President shall notify each member of all meethw at least three days in advance.
Section 2 - Ammendments to By-Laws - These By-Laws may be amended by a two-thirds majority of the members present at a meeung called for same and nouce of which has been mailed to each member of the Association seven days beforehand.
Section 3 - Proxy - Members may vote by written proxy in any meetings of members, provided that no proxy shall be valid for more than one meetlng next following the date of such proxy.
Section 4 - Quorum at Meetings - At all annual meetings ten members shall be necessary to constitute a quorum and at all special meetings ten members shall be necessary to constitute a quorum, but at the regular meettings those present shall be entitled to transact business whether the number constitutes a majority of the membership or not provided the full membership has been given written notice of the meeting. The majority rule shall always prevail except as otherwise specifically provided for herein.
Section 5 - Meetings - The Board shall meet prior to the regular membership meeting to transact any business necessary.
Section I - The dues of each member shall be as set by the membership at a duly authorized meeting and shall remain in effect until changed by the membership.
Section 2 - If any member of the Association fafls to pay dues or assessments set forth in Section I and such continues for three months, his membership in the Association automatically ceases, at the direction of the Board, provided the Executive Vice President has notifed the delinquent in writing of said default.
Section 3 - The Executive Vice President shall remit to the national office the annual assessment of the AGC of America, Inc. for each member.
Section 4 - Members who pay dues on work awarded by the Alabama State Highway Department shall be excused from a duplicate payment of dues to the Alabama Branch AGC.
Section 5 -The regular dues shall apply on all work done on a joint contract by two or more firms and in such instances responsibility for the dues shall be prorated between the contractors involved on the baasts of their personal interest in the contract. Where a joint contract involves a non-member, AGC members shall be responsible for dues only on their part of the contract.
Section I - AGC Insignia - It is recommended that all members shall use the AGC insignia on their stationers, at the job site and in advertisements.
Section 2 - Complaints - All complaints will be made to the Board either director or through the Executive Vice President by letter. The Board shall decide the importance of the complaint and may either pass judgement or if it thinks necessary, refer the matter to the membership for a vote on its findings and recommendation. In each instance, the Board shall act In the interest of the Association as a whole, and caution will be observed to protect the Association and the general good of the profession.
Section 3 - Rulings - All rulings handed down by the Board on matters voted upon by the general membership will be so governed, accepting it as a means of protecting the profession and as an improvement untfl such time as the membership shall elect to change it.
Section 4 - In electing members to the Board, the membership places faith in their judgement to act fairly and unselfishly in all instances; and consequently, their rulings shall be accepted.
Organized for the purpose of providing a medium through which individual companies associated in the construction industry, with common interests, might assist each other In the improvement of all phases of their business.
Eligibility - Membership shall be confined to those businesses having an active interest in the construction industry.
The Board of Directors shall consist of sixteen members to be elected annually by November 30. Two Directors shall be elected in each of the eight sections by membership of each section.
Officers shall be elected from the elected Directors at a meeting held in conjunction with the December Alabama Branch AGC Board Meeting. The Officers shall be: President, I st Vice President and 2nd Vice President. The President shall be the ruling officer. He shall preside at all meetings and shall be an Ex-Officio member of all committees.
The Executive Comrnittee shall consist of the President, lst Vice President and 2nd Vice President. It shall be the purpose of this committee to act on officer matters that require attention between meetings of the Board. All such matters become official only when ratified by the full Board.
The Executive Committee shau appoint committees as required and deemed necessary.
There shall be four meetings of the Board annually which shall be calledby the President at a point designated by him. All sections are encouraged to have their Directors in attendance at all Board Meetings.
